1. DESCRIPTION OF SERVICES

Through its WEBSITE, the COMPANY provides you with access to a variety of resources and information such as (but not limited to) appraiser directory, valuation-related tools, download areas, communication forums, facilities for e-commerce and, but not limited to, office management and related information. These resources are collectively known as "SERVICES". The SERVICES may furthermore contain other related services such as, but not limited to, e-mail services, forums, communities, personal web pages, file storage and/or other message or communication facilities designed to enable you to communicate and conduct business with other members. Each is a "COMMUNICATION SERVICE" (and collectively "COMMUNICATION SERVICES") and are subject to the Terms of Use.

2. USE OF WEBSITE, SERVICES AND COMMUNICATION SERVICES

The COMPANY hereby grants you, and you hereby accept, a limited, revocable, non-exclusive right to access the WEBSITE, SERVICES AND COMMUNICATION SERVICES solely for purposes directly related to your professional activities arising in the ordinary course of business, subject to and in accordance with the terms and conditions herein. Any other use of the WEBSITES, SERVICES and COMMUNICATION SERVICES is strictly prohibited.

 

In connection with your activities on the WEBSITES and its SERVICES, you shall (i) operate your business in accordance with all applicable laws and regulations, (ii) to the extent reasonably practical, use the WEBSITE to obtain products and services of the type offered by members thereof, (iii) consistently encourage the use of the WEBSITE by appraisers and other participants in the real estate mortgage industry, (iv) promptly respond to all requests for services or products received from, and promptly pay for all services or products ordered from, other members of the WEBSITE, (v) make no false or misleading representations to any party with regard to the WEBSITE or any product or service offered by you, and (vi) not participate or engage in any illegal, deceptive, misleading, unethical or improper practice or infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy. You further agree not to (vii) disseminate any information about another member of the WEBSITE without the prior consent of such member, or (viii) send unsolicited e-mails or other types of communications to any member of the WEBSITE for any purpose other than requesting the delivery of products or services provided by such member or a proposal to provide any such product or service.

 

You agree to use the COMMUNICATION SERVICES only to post, send and receive messages and material that are proper and, when applicable, related to the particular COMMUNICATION SERVICE. The COMPANY has no obligation to monitor the COMMUNICATION SERVICES. However, AppraisalWorld reserves the right to review materials posted to the COMMUNICATION SERVICES and to remove any materials in its sole discretion. The COMPANY reserves the right to terminate your access to any or all of the COMMUNICATION SERVICES at any time, without notice, for any reason whatsoever.

 

The COMPANY reserves the right at all times to disclose any information as the COMPANY deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in AppraisalWorld’s sole discretion.

 

AppraisalWorld does not control or endorse the content, messages or information found in any COMMUNICATION SERVICES and, therefore, AppraisalWorld specifically disclaims any liability with regard to the COMMUNICATION SERVICES and any actions resulting from your participation in any COMMUNICATION SERVICES. Materials uploaded to the COMMUNICATION SERVICES may be subject to posted limitations on usage, reproduction and/or dissemination; you are responsible for adhering to such limitations if you download the materials.

3a. NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the SERVICES, you will not use the SERVICES for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the SERVICES in any manner that could damage, disable, overburden, or impair any AppraisalWorld server, or the network(s) connected to any AppraisalWorld server, or interfere with any other party's use and enjoyment of any SERVICES. You may not attempt to gain unauthorized access to any SERVICES, other accounts, computer systems or networks connected to any AppraisalWorld server or to any of the SERVICES, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the SERVICES.

3b. UNLAWFUL OR PROHIBITED USE OF "FIND AN APPRAISER"

"Find an Appraiser" is compiled, published and copyrighted by the COMPANY. "Find an Appraiser" and any of its data, listings or other constituent elements may not be downloaded, republished, resold or duplicated, in whole or in part, for commercial or any other purposes or for purposes of compiling mailing lists or any other lists of real estate professionals or AppraisalWorld members. The use of "Find an Appraiser" to establish independent data files or compendiums of statistical information is prohibited. NOTE: The COMPANY has implemented safeguards within the "Find an Appraiser" data files to trace unauthorized use.

4. USE OF "MEMBER" NAMES

You hereby grant AppraisalWorld the right to include your name and/or company logo in the WEBSITE and in advertisements and releases promoting the WEBSITE and its SERVICES.

5. LINKS TO THIRD-PARTY SITES

The links in this site will let you leave the WEBSITE. The linked sites are not under the control of COMPANY. The COMPANY is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by the COMPANY.

6. MEMBER ACCOUNT, PASSWORD, AND SECURITY

If any of the SERVICES requires you to open an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify AppraisalWorld immediately of any unauthorized use of your account or any other breach of security. AppraisalWorld will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by AppraisalWorld or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.

7. PRIVACY AND PROTECTION OF PERSONAL INFORMATION

See the Privacy Statement disclosures relating to the collection and use of your information.

8. AGREEMENT TERMINATION

The COMPANY reserves the right, in its sole discretion, at any time, with or without cause, upon written notice to you, to terminate this AGREEMENT. Upon termination of this AGREEMENT, all rights and obligations of the parties hereto (excepting those set forth in Sections 10, 11, 12 and 13) shall terminate. In addition, you agree to immediately cease and desist from accessing the SERVICES and from holding yourself out as a member of the WEBSITE.

9. PROPRIETARY RIGHTS

AppraisalWorld, Appraisal Lockers, Appraisal Express, ClickFORMS and other identifying marks of Bradford Technologies, Inc. are and shall remain the trade-marks and trade names and exclusive property of Bradford Technologies, Inc., and any unauthorized use of these marks is unlawful. Other trade-marks on this website are the property of their respective owners. All content on this website, including without limitation, all programs, compiled binaries, interface layout, interface text, documentation and graphics, is the copyrighted property of Bradford Technologies, Inc. and is protected by international copyright law. The content on this website may be used by you only for your personal, non-commercial use as provided for in these Terms of Use, but may not be taken out of context or presented in a misleading or discriminatory manner. Any rights not expressly granted to you are reserved by us.

10. LIMITATION OF LIABILITY

You assume all responsibility for the use of the WEBSITE. the contents and services are provided "as is," and are without any express or implied warranties of any kind, including, but not limited to, warranties of merchantability or fitness for a particular purpose; freedom from viruses, bugs, errors, or other harmful code or computer programming routines; and non-infringement of intellectual property rights. The COMPANY is not liable for any damages, including, but not limited to, punitive, incidental, or consequential damages (including, but not limited to, damages for the inability to use the WEBSITE or access the contents, loss of business, loss of profits, business interruption or the like), arising out of the use of or inability to use the WEBSITE, the contents, or any hyper-linked site, even if the COMPANY has been advised of the possibility of such damages.

11a. INDEMNITY

You agree to indemnify and hold the COMPANY and its affiliates, agents, licensors, suppliers, alliance members, other partners, employees and representatives harmless from and against any and all claims, demands, losses, costs, expenses, liabilities and damages of any kind or nature whatsoever made by any third party due to or arising out of your content, your use of or connection to the WEBSITE and its SERVICES (including any use by you on behalf of your employer), your violation of the Terms, or your violation of any rights of another.

11b. INDEMNITY ON “FINDING AN APPRAISER”

All individual member information was provided solely by the member. The COMPANY has not reviewed or verified such information. The COMPANY makes no representation as to the accuracy, completeness, or timeliness of the information in these listings and takes no responsibility for such information.

12. RELEASE

In the event that you have a dispute with one or more users of the WEBSITE, you shall and do hereby release the COMPANY and its employees and agents from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code § 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

13. GOVERNING LAW/VENUE

This agreement shall be construed and enforced in accordance with the laws of the State of California. All claims, actions, disputes, controversies or suits shall be litigated exclusively in the courts of California.

14. AMENDMENTS

The COMPANY may amend this AGREEMENT at any time by posting the amended terms on the WEBSITE. Except as stated above, all amended terms shall automatically be effective when posted on the WEBSITE. This AGREEMENT may not be otherwise amended except in a writing signed by you and the COMPANY.

15. WAIVER

No supplement, modification, or amendment or waiver, of the terms and conditions shall be binding upon AppraisalWorld, unless executed in writing by a duly authorized representative of the COMPANY. The failure by the COMPANY to enforce any provision of this AGREEMENT will not constitute a waiver of future enforcement of that or any other provision.

16. SEVERABILITY

If for any reason any portion of this AGREEMENT is held to be invalid or unenforceable, that portion will be enforced to the maximum extent permissible and the remainder of the terms and conditions will remain in full force and effect.

17. INFORMATION CONTROL

The COMPANY does not control the information provided by other users that is made available through our WEBSITE. You may find other user's information to be inaccurate or deceptive. Please use caution, common sense, and practice safe trading when using the WEBSITE.

18. FRAUD

Without limiting any other remedies, the COMPANY may suspend or terminate your membership in the WEBSITE if the COMPANY suspects that you (by conviction, settlement, investigation or otherwise) have engaged in any fraudulent activity in connection with the WEBSITE and its SERVICES.

19. HEADINGS

The headings used herein are for convenience only and shall not affect the interpretation or construction of the AGREEMENT.

20. ENTIRE AGREEMENT

The terms and conditions set forth the entire agreement between you and the COMPANY regarding the subject matter of the AGREEMENT, and supersede any prior oral or written statements or agreements with respect to the same.
